NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN OR INCREASE CHANCES TO WIN. THIS GIVEAWAY IS VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING IN THE GIVEAWAY, YOU AGREE TO THESE BINDING OFFICIAL RULES, WHICH INCLUDE LIMITATIONS OF YOUR RIGHTS AND REMEDIES, INCLUDING AN AGREEMENT TO SUBMIT ANY DISPUTE RELATED TO THIS GIVEAWAY, OR THESE OFFICIAL RULES TO BINDING ARBITRATION RATHER THAN PROCEEDING IN COURT. IF YOU DO NOT AGREE TO THESE OFFICIAL RULES DO NOT PARTICIPATE IN THE GIVEAWAY. YOUR PARTICIPATION DEMONSTRATES YOUR AGREEMENT TO THESE OFFICIAL RULES.
1. Overview
OVERVIEW. The Harry Potter Magical Book Club Giveaway (“Giveaway”), sponsored by SCRIBD, INC. (“Scribd”), begins on July 18, 2023 12PM ET and ends on October 25, 2023 11:59PM ET (the “Giveaway Period”).
2. Eligibility
ELIGIBILITY. The Giveaway is open only to:
2.1. Individuals who are at least eighteen (18) years old and who have also attained the age of majority in their jurisdiction of primary residence as of the start of the Giveaway Period.
2.2. Individuals who have an account on Scribd.
2.3. Individuals who follow the @scribdes on Instagram, tag the Scribd brand in their reading progress, and who engage with the Instagram community for a chance to be the “Reader of the Week.”
2.4. Individuals who are a citizen or permanent resident of the United Mexican States (“Mexico”).
The Giveaway is not open to any person who is a citizen or permanent resident of any country on which the United States has embargoed goods/services and/or imposed sanctions (e.g., Cuba, Iran, North Korea, Syria, Russia sanctioned countries), or to whom Scribd would otherwise be prohibited from awarding a prize by applicable U.S. export controls and sanctions or other applicable foreign sanctions and export control laws. Employees, officers, directors, members, managers, agents, and representatives and family members of such individuals (or people living in the same household whether related or not) of Scribd, or their respective corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest and advertising, promotion, and public relations agencies, as well as any other entity participating in the design, administration, or fulfillment of the Giveaway (collectively, the “Scribd Entities”) are not eligible to win. For purposes of this Giveaway, “family members” is defined as any spouse, domestic partner, parent, legal guardian, sibling, child, legal ward, grandparent, grandchild, or the spouse or domestic partner of any such person. This Giveaway is void where prohibited by law.
3. How To Enter
HOW TO ENTER.
3.1. Meet the eligibility requirements set forth above.
3.2. Individual must follow the @ScribdES account on Instagram, like and comment on related Book Club posts, and share their reading progress via Instagram Story.
3.3. NOTE: submitting any content that has been generated or created using AI or other automated means is prohibited. All content submitted must be generated and created solely by the entrant. Any breach of this requirement may result in disqualification of your entry.
3.4. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Scribd. Scribd reserves the right in its sole discretion to disqualify from the Giveaway any entrant that (i) refers, depicts, or in any way reflects negatively upon Scribd, the Giveaway or any other person or entity, or (ii) does not comply with any provision of these Official Rules, including the above submission requirements.
3.5. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of Scribd.
4. Winner Selection & Notification
WINNER SELECTION & NOTIFICATION. There will be one winner selected every two (2) calendar weeks of the Giveaway Period. There will be seven (7) total winners in this Giveaway, one for each two (2) week period. The winner will be selected every two (2) weeks based on completion of the methods of entry above. Because this Giveaway is based on your feedback, comments, engagement, and skill, winning the Giveaway is dependent on the quality and number of submissions received. Sponsor or its designees will judge the quality and creativeness of entries based on engagements (e.g. comments, Stories shared). Winners will be notified via Instagram Direct Message and email. Each potential winner may, in Scribd’s sole discretion, be required to complete, sign, have notarized (if applicable), and return certain affidavits or liability releases (unless prohibited by law), tax documents, and related prize-acceptance documentation, if applicable, any or all of which may require the potential winner to provide taxpayer identification number or an equivalent identification number unless prohibited by law, and a copy of a government-issued identification or number, within the time frame specified and in the form provided by Scribd (without revision), or prize may be forfeited and an alternate winner may be selected. If any prize, prize notification, or other Giveaway-related communication is returned as undeliverable, or if a selected winner cannot be reached or does not respond as instructed after Scribd has attempted to notify that potential winner, that selected winner may be disqualified and an alternate winner may be selected (time permitting and in Scribd’s sole discretion). Scribd reserves the right to modify the notification procedures in connection with the selection of any alternate potential winner, if any. The prizes, if legitimately claimed, will be awarded. Scribd will not be obligated to pursue any alternate winners (time permitting) for any prize for any reason. If there are fewer entries received than available prizes, Scribd reserves the right to award only as many prizes as there are eligible entries, in which case any remaining prizes will go unawarded.
5. Prizes
PRIZES. The prizes include:
a. One year membership to the Scribd service
The total appraised value of the prizes is $144 USD. Actual/appraised value may differ at the time of prize award.
BY ACCEPTING A PRIZE IN THIS GIVEAWAY, ANY INDIVIDUAL WINNER REPRESENTS THAT THEY ARE IN COMPLIANCE WITH THE OFFICIAL RULES, CORPORATE GIFT RECEIVING OR SIMILAR POLICIES, ALL APPLICABLE LAWS AND REGULATIONS. The specifics of the prizes shall be solely determined by Scribd. No cash or other prize substitution shall be permitted except at Scribd’s discretion. No substitution of a prize or transfer/assignment of a prize to others or request for the cash equivalent by the winner is permitted. All taxes applicable to winning the prizes will be the responsibility of the person that submitted the winning entry and any tax forms that must be filed by Scribd under applicable law will be filed in that person’s name. All taxes (national, federal, state, provincial, territorial, local, or otherwise), social security payments or other fees (including those applicable in your jurisdiction of primary residence) and other expenses not specified in these Official Rules as being provided as part of the prizes are the sole responsibility of the winner. Each winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any prize. Scribd is not responsible for any inability of any winner to accept or use any prize (or portion thereof) for any reason.
6. Additional Disclaimers
ADDITIONAL DISCLAIMERS. To the extent permitted by the mandatory provisions of the applicable law, the Scribd is not responsible and/or liable for any of the following, whether caused by the entrant or by human error (however, only if required by law in your jurisdiction, except to the extent that any of the following occur for reasons within Scribd’s reasonable control, where liability to the injured party cannot be excluded by law): entries that use illegitimate means (such as, without limitation, by an automated computer program); any lost, late, incomplete, illegible, mutilated, or misdirected email, mail, or Giveaway-related correspondence or materials; any error, omission, interruption, defect, or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos or misprints in these Official Rules, in any Giveaway-related materials; failures of electronic equipment, computer hardware or software; lost or unavailable network connections; claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Without limiting any other provision in these Official Rules, Sponsor Entities are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply the prize or any part thereof in the event that any of the Giveaway activities or the Sponsor Entities’ operations or activities are affected, as determined by Scribd in its sole discretion.
7. General Rules
GENERAL RULES:
7.1. While it is not necessary to submit any additional content or information than what is specified in these Official Rules, Scribd will not have any responsibility or liability for any dispute regarding any entrant, or ownership of or intellectual property rights in the submission or other content including feedback provided during the Giveaway (“Entry Content”). As between Scribd and each entrant, entrant retains ownership of all intellectual property rights in and to the Entry Content.
7.2. Entry Content must not:
7.2.1. Infringe, misappropriate, or violate any rights of any third party including, without limitation, copyright (including moral rights), trademark, trade secret, or right of privacy or publicity,
7.2.2. Include information or content that is false, fraudulent, deceptive, misleading, defamatory, threatening, trade libelous, slanderous, libelous, disparaging, unlawfully harassing, profane, obscene, pornographic, hateful, indecent, inappropriate or injurious to any individual, or any third party, or
7.2.3. Disclose any information which would constitute a violation of any confidentiality obligation or disclosure of a trade secret.
7.3. Scribd reserves the right, in its sole discretion, to void entries of any entrants who Scribd believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Giveaway. Scribd’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision.
7.4. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
7.5. If any person supplies false information, obtains entries by fraudulent means or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, Scribd may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law.
7.6. Except where prohibited by law, as a condition of participating in this Giveaway, each entrant agrees that any and all disputes and causes of action arising out of or connected with the Giveaway, or any prize awarded, shall be resolved exclusively by final and binding arbitration under the rules of the American Arbitration Association, and held at the regional office nearest to San Francisco, California. Each entrant waives all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than his or her actual out-of-pocket expenses (i.e., costs associated with entering the Giveaway), and each entrant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants and Scribd in connection with the Giveaway, will be governed by, and construed in accordance with, the substantive laws of California, United States unless required by consumer local laws for such laws to govern.
8. Publicity
PUBLICITY. Winners may be encouraged to take part in the publicity relating to this Giveaway and, after obtaining winners’ express consent, Scribd may use the winner’s name, likeness, prize information, and photo for promotional purposes agrees to allow Scribd to use his or her name, photograph, likeness, voice, prize information, and biographical information obtained as part of the Giveaway for publicity and promotional purposes without further compensation where permitted by law.
9. Privacy
PRIVACY. Each entrant agrees to the use of the personal information submitted when they enter as detailed in Scribd’s Privacy Policy posted at https://support.scribd.com/hc/en-us/articles/210129366-Privacy-Policy. Please note that by participating in the Giveaway and accepting these Official Rules, you acknowledge and consent to the use of your personal information as set forth in Scribd’s Privacy Policy. Scribd collects personal information that you submit with your entry into the Giveaway, including your name, email address, and company name. Scribd uses your personal information for the purposes of administering the Giveaway and exercising or discharging Scribd’s rights and obligations under applicable law. Scribd also uses any information you voluntarily submit for marketing campaigns. We may disclose personal information about Giveaway entrants and winners to government entities and other third parties, as permitted or required by applicable law.

Requests for a list of winners must be received no later than November 25, 2023.
