These Terms of Sale (the “Terms”) govern the sale of Scribd Premium offered by Scribd, Inc. (“Scribd, Inc.” or “we”). By purchasing a subscription, you also agree to the Global Terms of Use and Global Privacy Policy, the terms of which are incorporated herein by reference.
1. Scribd Premium
Scribd Premium is a subscription-only digital product that includes web and app access to Scribd and Slideshare, including certain premium features that are available by subscription only. It does not include access to any other Scribd, Inc. products, which may require a separate subscription. You are not required to make a purchase to use Scribd and Slideshare. If you do not purchase a subscription, however, your access to those products may be limited.
We may modify the content, type, pricing, and availability of any plan or Scribd Premium subscription. If you do not cancel your subscription after a modification becomes effective, you agree to the modification. We do not guarantee the availability of certain content or features, as they may change over time.
2. Subscription
- Auto-renewing subscription. Scribd Premium subscriptions, which may start with a promotional rate or a free trial, will renew automatically at the interval shown at checkout (monthly or annual) until you cancel. We will charge your payment method at purchase (or after a free trial ends) and on the first day of each subsequent Billing Period unless, before renewal: (a) you cancel; (b) we decline to renew; or (c) these Terms of Sale are otherwise terminated as permitted herein. You can view your renewal date and manage your subscription in your account settings.
- Pricing errors. If a stated price or other material information is in error, we may cancel or refuse the order and provide a refund or a cancellation option. Unpaid accounts may be suspended or canceled.
- Differing subscriptions/promotions. We may offer a number of types of subscriptions, including subscriptions to different products and special promotions. Other products may be governed by different terms of sale. Everand subscriptions, for example, are governed by the Everand Subscriber Agreement. Any materially different terms from those described in this Terms of Sale will be disclosed at the time of purchase or in other communications made available to you. We reserve the right to change or terminate any offers at any time.
3. Billing and payment
- Payment methods. We accept major cards and other methods presented at checkout (“Payment Method”). Available methods may vary by location or platform (including app stores).
- Recurring billing. By enrolling in an auto‑renewing plan, you authorize us to charge you the then‑current subscription fee (plus applicable taxes) to your Payment Method on the first day of each Billing Period. You acknowledge that amounts may vary due to price changes, tax changes, or plan changes you make, and you authorize us to charge your Payment Method for such varying amount each Billing Period. Applicable taxes may vary. We reserve the right to change the timing of our billing. If your Payment Method is declined for a recurring payment of your subscription fee, you have four (4) days to provide us a new Payment Method, or your subscription may be cancelled. We may adjust billing dates when a month has fewer days (e.g., January 31 renews on February’s last day).
- Price changes. We reserve the right to change subscription fees at any time. If the recurring fee for your subscription increases, we will notify you before the change takes effect; you may cancel prior to renewal to avoid new pricing. If you do not cancel, the new price applies at the next charge.
- Currency & foreign fees. Prices are displayed in USD or, when possible, your local currency. The currency used depends on the billing country of your payment method. We may convert displayed currency to the currency of your billing country or payment method. Your bank or card issuer may charge conversion or foreign transaction fees that we do not control. Your billing country must match your payment method’s country.
- Taxes. We collect taxes as required by law based on your billing address or use location. Amounts and rates may change without notice to reflect law changes.
- Sanctions compliance. We may decline or reverse transactions involving sanctioned countries, territories, individuals, or entities, consistent with applicable sanctions regimes and our internal compliance policies.
- One‑time purchases (e.g., gift subscriptions). For standalone, non‑renewing purchases (including gift subscriptions), we charge at time of purchase.
4. Free Trials & Promotions
- Free trials and promotional rates. We may offer free trials or promotional rates. To ensure uninterrupted service, you may be required to provide a valid payment method at the start of your trial. Unless you cancel before the trial ends, your plan may convert to a paid subscription and your payment method will be charged at the then‑current rate and interval at the time of conversion. Promotional rates apply only for the period stated; afterward, standard rates apply. Eligibility limits may apply (e.g., one trial per household/account). We may modify or end promotions at any time.
- Promo codes. Promo codes are single‑use, non‑transferable, subject to expiration and other offer terms, and cannot be combined unless we say so. Keep your code secure; lost or stolen codes will not be replaced.
5. Cancellations & Refunds
- How to cancel. You may cancel at any time in your account settings (or, if you subscribed via a third‑party app store, through that app store). To avoid the next charge, cancel before your renewal date. Unless required by law or expressly stated otherwise, cancellations stop future charges and take effect at the end of your current Billing Period (access continues through the period you already paid).
- Refunds. Except where these Terms or applicable law say otherwise, all fees are non‑refundable and non‑creditable (including partial periods). We may, in our discretion, issue goodwill refunds or credits once without creating an obligation to do so again. If a specific item is defective, we may provide a replacement rather than a refund.
6. Legacy bundled access; plan changes
If you are an active subscriber who subscribed to Everand, Scribd, or Slideshare before 10 November 2025, you will continue to have bundled access to all three products unless and until you change to an unlock plan or you cancel your subscription.
7. Gift subscriptions
- Purchase and redemption. Gift Subscriptions may be purchased only through authorized channels and redeemed to eligible products by users with an Account (with or without an existing Subscription). Each Gift Subscription can be redeemed once; balances are applied to the recipient’s Account. If a purchase exceeds the balance, the remainder must be paid via another method.
- Limitations. Gift Subscriptions cannot be used to buy other Gift Subscriptions, combined with other offers, reloaded, resold, transferred for value, or redeemed for cash (unless required by law). Unused balances are not transferable between Accounts.
- Risk of loss; fraud. Title and risk pass upon our electronic transmission to you or your designated recipient. We are not responsible for delivery failures due to invalid email, filtering, or insufficient mailbox space, nor for loss, theft, or unauthorized use. We may close Accounts and seek payment if a Gift Subscription is obtained or used fraudulently.
- No expiration. Gift Subscriptions do not expire, though redemption terms may change as permitted by law.
- Disclaimer. Gift Subscriptions are provided “as‑is” without warranties; your sole remedy for a non‑functional Gift Subscription is replacement. Some jurisdictions do not allow certain disclaimers; if those laws apply, you may have additional rights.
8. Termination
We may suspend or terminate a subscription for non‑payment, fraud, violation of these Terms, or misuse of the Services. If we terminate for our convenience (not for your breach), we may provide a pro‑rated refund for unused, prepaid time that you cannot use. Termination for breach may occur without refund to the extent permitted by law. Dispute resolution, disclaimers, and other provisions in the Global Terms of Use continue to apply.
9. International disclosures & consumer rights
- Jurisdiction. If you are in the EEA+ or the UK, your contract is with Scribd Netherlands B.V.; otherwise, your contract is with Scribd, Inc. See Section 3 (Jurisdiction) of the Global Terms of Use.
- Place of performance. For contract and consumer‑law purposes, the place where we perform Services is the address you provide during checkout.
- EU/UK. If you reside in the EU or UK, you have a legal right to withdraw from your initial Digital Subscription within 14 days of purchase and receive a full refund. You may exercise this right by canceling in your account or by submitting the model withdrawal form we provide upon request. After withdrawal, access ends immediately (in some jurisdictions) and, where applicable, you will stop receiving any included print products.
- Prevailing rights. Where national law grants mandatory consumer rights that conflict with these Terms of Sale, those rights will prevail to the extent required.
10. Changes to these Terms
We may update these Terms of Sale. If we make material changes, we will notify you as required by applicable law. Continued use after a change takes effect means you accept the updated terms; material changes do not apply retroactively to disputes that arose before the change’s effective date.
11. Miscellaneous
- Electronic communications; E‑SIGN. By opening an account or purchasing a Digital Subscription, you consent to receive notices, disclosures, agreements, receipts, confirmations, and updates electronically (for example, in‑product, by email, or in your account). You must maintain a valid email address.
- Assignment; no agency. You may not assign these Terms. No partnership, joint venture, or agency is created by your agreement to these Terms.
- Severability; waiver. If any provision is unenforceable, it will be limited to the minimum extent necessary; other provisions remain in force. Our failure to enforce a provision is not a waiver.
- Entire agreement. These Terms and incorporated policies are the entire agreement between you and Scribd about the Services. Section headings are for convenience only. Certain claims must be brought within one year unless a longer period is available by law.
